MacLean and Ema provides legal services in business law and related areas, including general contract and commercial law and law relating to for-profit and non-for-profit entities. The firm forms, and manages the on-going legal needs of, corporations, limited partnerships, general partnerships and limited liability companies – including family owned businesses and businesses owned by unrelated parties (though the firm does not practice in the area of securities laws). The firm’s non-profit work includes family and non-family foundations and public charities.
More specifically, the services provided by MacLean and Ema include the following:
- Select the for-profit or not-for-profit entity best suited to a client’s needs and form the appropriate entity
- Make all necessary filings with federal and state governmental agencies for private foundations and public charities
- Act as general counsel and oversee internal administration requirements of entities, including annual filings, annual meetings, and distributions
- Create and implement domestic asset protection and business succession plans
- Draft, negotiate, and implement shareholder’s agreements, buy-sell agreements, and employment contracts
- Represent clients in the purchase and sale of businesses
- Draft, review, and negotiate contracts of all kinds and negotiate and settle contract disputes
- Negotiate and prepare loan agreements, financing statements, and other documentation in connection with loans and secured transactions of all kinds
